Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, applications, and services offered under the YPH AI and YPH AI brands (collectively, the "Service"), operated by YPH AI PRIVATE LIMITED ("we", "us", "our").

By creating an account, clicking "I agree", signing in, uploading content, purchasing credits or a subscription, or otherwise using the Service, you agree to these Terms and our Privacy Policy at https://yourproducthere.ai/privacy. If you do not agree, do not use the Service.

Our public pages may set cookies and run product analytics (including session replay) as described in the Privacy Policy. By continuing to browse those pages after reading our cookie notice, or by signing in, you accept that processing where permitted by applicable law.

If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation.

Product terms used in these Terms:

• "Digital Sample" — a creative logistics package for physical e-commerce products: a project bundling a Seed Video, Collab workflow, and Proof-of-Post. It is not a digital good (such as an ebook or SaaS), not the physical product itself, and not a substitute for legal product-testing or bona fide use requirements when content implies personal experience.
• "Seed Video" — the brand-uploaded master reference video that affiliates clone face and voice into.
• "Collab" — a Digital Sample with multi-participant mode enabled (invite-only or public).
• "Actor" — your digital identity assets (face, body references, voice clip) used for AI cloning.
• "Social profile" — a declared social handle used for distribution and Proof-of-Post validation.
• "Proof-of-Post" — URL-based validation that you published approved content on the declared channel.
• "Credits" — prepaid units used to fund video generations and related platform usage.

Owners and affiliates are responsible for compliance with applicable advertising, endorsement, and consumer-protection laws (including FTC, ASA, ASAS, and local equivalents) and for required disclosures (#ad, paid partnership, gifted product, AI-generated or synthetic media labels).

Affiliates must not publish personal testimonial or first-hand product-use claims (for example, "I tried it", "my honest review", or personal results) unless they are bona fide users of the physical product shown.

Seed Videos may show brand-approved product demonstration. Affiliate output adds the affiliate's identity to that demonstration; it does not create a right to fabricate personal experience.

Rules of third-party platforms (including TikTok Shop, Shopee, and similar marketplaces) are your responsibility. We do not guarantee that any platform will accept, promote, or rank your content.

You must be at least 18 years old and able to form a binding contract under applicable law.

You may not use the Service if you are barred under applicable sanctions, export-control, or anti-fraud laws, or if we have suspended or terminated your account for breach.

You are responsible for safeguarding your sign-in method (magic link, OAuth) and for activity under your account.

Provide accurate registration information and keep it updated. Notify us promptly at michel@yourproducthere.ai if you suspect unauthorised access.

We may require identity, ownership, or eligibility checks (including for Collab owners and applicants) to reduce fraud and protect participants.

The Service provides digital content logistics: uploading seed videos, configuring Digital Samples, running Collabs, AI-assisted face and voice replacement renders, credit-based billing, Proof-of-Post workflows, marketplace discovery (where available), and related tools.

Features may change, be beta-labelled, or be limited by geography, plan tier, or fair-use. We do not guarantee uninterrupted availability, specific render times, or that third-party platforms (e.g. TikTok) will accept or promote your content.

You are solely responsible for compliance with platform rules, advertising disclosure laws, likeness rights, and brand guidelines when you publish or distribute output.

You retain ownership of content you upload or submit ("User Content"), subject to the licences below.

To operate the Service and run our business, you grant YPH AI PRIVATE LIMITED a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, process, transmit, display, and distribute User Content solely to: (a) provide and improve the Service; (b) perform AI rendering and quality checks; (c) enforce Proof-of-Post, trust scores, and fraud prevention; (d) comply with law; and (e) create aggregated or de-identified analytics that do not reasonably identify you.

For biometric-related inputs (face, body, voice), you confirm you have all necessary rights and consents—including from any person depicted—and that your use does not infringe privacy, publicity, or intellectual property rights.

Collab owners warrant that seed videos and related materials: (a) match the product SKU or listing they attach; (b) do not instruct affiliates to claim personal product use without bona fide use; (c) include only people, products, and music they have rights to use; and (d) do not contain deceptive or unsubstantiated claims.

Collab owners are responsible for seed videos and campaign terms shown to applicants. Applicants are responsible for Actor assets and declared social handles they submit.

Actor assets (face, body, and voice references) are identity data you control. We protect them with access controls and limit internal access to what is needed to operate the Service.

We use your Actor assets to generate AI video output only for Collabs where you apply, are approved, and explicitly consent during the in-app application flow. We do not use your identity for unrelated campaigns, other brands' Collabs you did not join, or public marketing without separate permission.

You confirm you are the person depicted (or hold their consent), that your uploads are accurate, and that you authorize this limited processing for the specific Collab you are applying to.

You may stop future Collab applications at any time. Approved collaborations already in progress may continue under the consent given for that application and Proof-of-Post obligations described in these Terms and our Privacy Policy.

You must not:

• Upload or generate content depicting real persons without their informed consent, or impersonate others for deception or harm.
• Create or distribute illegal, harassing, hateful, sexually exploitative, or clearly deceptive deepfake content.
• Circumvent Proof-of-Post, credit locks, posting locks, bans, or application limits.
• Scrape, reverse engineer, or overload the Service except as permitted by law.
• Resell or white-label the consumer Service without a separate written agreement (enterprise/API offerings may be governed by other contracts).

Owners may approve or reject applications at their discretion, subject to applicable law. Credit reservation and charging follow the product flow described in-app (including just-in-time funding at approval).

Participants may be restricted from new applications until Proof-of-Post is satisfied. Submitting false or mismatched proof may result in rejection, posting locks, trust-score reduction, or permanent ban from Collabs, as described in-product.

Affiliates must enable required platform AI, synthetic, or altered-media labels when applicable, avoid identical batch posting across multiple accounts without meaningful variation, and apply required commercial disclosures before publishing.

Proof-of-Post verifies that approved content was published on a declared channel; it does not replace disclosure obligations or truth-in-advertising requirements.

Automated checks of public URLs and handles are provided for operational efficiency, not as legal proof of publication in every jurisdiction.

Prices, included generations, overage rates, and plan features are shown at checkout or on our marketing pages and may change with notice where required.

Except where mandatory law provides otherwise, fees are non-refundable once credits are consumed or a billing period has started. Chargebacks or abuse may lead to suspension.

Taxes, currency conversion, and payment processing are your responsibility where applicable. We use third-party payment processors; their terms also apply.

The Service, software, models, workflows, branding (YPH AI, YPH AI), and documentation are owned by YPH AI PRIVATE LIMITED or its licensors. No rights are granted except as expressly stated.

Feedback you provide may be used without restriction or compensation to improve the Service.

The Service integrates with third parties (e.g. cloud hosting, authentication, email, AI rendering infrastructure, social platforms). Their availability and policies are outside our control.

Links to third-party sites are provided for convenience; we are not responsible for their content or practices.

Before a Digital Sample can activate Collab mode or accept affiliate applications, seed videos may require platform review and approval status in-product.

Review is operational quality and compliance screening (including safe-shot rules and demonstration vs testimonial alignment). It is not legal clearance, platform approval, or a guarantee that your content complies with all applicable laws.

We may reject, request changes to, or suspend seed videos that appear to violate these Terms or create undue risk to participants or third parties.

The Service is provided "as is" and "as available". To the fullest extent permitted by Singapore law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

AI outputs may contain artefacts or inaccuracies. You must review outputs before publication. We do not guarantee specific commercial results, follower growth, or platform compliance.

Digital Samples streamline creative logistics for long-tail affiliate activation; they do not eliminate your duty to comply with physical sampling, gifting, tax, import, or disclosure rules where applicable.

To the fullest extent permitted by the laws of Singapore: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business; and (b) our aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (i) amounts you paid us for the Service in the twelve (12) months before the claim, or (ii) one hundred Singapore dollars (SGD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including consumer rights where mandatory).

You will defend, indemnify, and hold harmless YPH AI PRIVATE LIMITED and its officers, directors, employees, and agents from claims arising out of your User Content, your use of the Service, violation of these Terms, or violation of third-party rights (including publicity and copyright).

We may suspend or terminate access immediately for breach, risk to users, legal requirements, or prolonged inactivity.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (licences granted for enforcement, payment obligations, disclaimers, liability limits, governing law) survive.

We may update these Terms. Material changes will be posted on the Service with an updated date. Continued use after the effective date constitutes acceptance where permitted by law.

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules.

You agree to submit to the exclusive jurisdiction of the courts of Singapore, subject to any mandatory consumer forum rights.

Before filing a claim, you agree to contact us at michel@yourproducthere.ai to attempt good-faith resolution within thirty (30) days.
